TERMS OF SERVICE Last Updated: April 17, 2026 These Terms of Use ("Terms") are entered into by and between you ("User," "you," or "your") and Champs Only, LLC, a Florida limited liability company, with a principal place of business at 1100 Brickell Bay Dr, Miami, FL 33131 ("Company," "we," "us," or "our"). These Terms govern your access to and use of the arbs.xyz platform, including all content, functionality, software, analytics, and services offered through the platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. 1. NATURE OF THE SERVICES Arbs.xyz is a data analytics and software interface platform designed to: • Aggregate publicly available data from third-party prediction market platforms • Identify potential pricing discrepancies ("arbitrage opportunities") • Provide analytical tools and calculators based on mathematical models • Facilitate user-initiated interaction with third-party platforms IMPORTANT DISCLAIMERS: • We are not a broker, dealer, exchange, or trading venue • We do not execute trades on your behalf • We do not custody funds, assets, or digital wallets • We do not provide investment, financial, legal, or tax advice • Any actions taken through the Services are initiated and authorized solely by you 2. THIRD-PARTY PLATFORMS The Services may integrate with or provide access to third-party platforms, including but not limited to prediction markets (e.g., Polymarket, Kalshi, or others). You acknowledge and agree: • All accounts with third-party platforms are created, owned, and controlled by you • You are solely responsible for complying with all terms, rules, and regulations of such platforms • We do not control, endorse, or assume responsibility for any third-party platform • Your use of third-party platforms is at your own risk 3. EXECUTION FUNCTIONALITY The Services may include features that allow you to initiate actions on third-party platforms. You acknowledge: • Any execution functionality is a user-initiated convenience feature only • We do not route, control, or execute transactions • You are required to independently review and authorize all transactions (including wallet signatures or API-based actions) • We do not guarantee execution, pricing, or availability • You retain full control and responsibility over all transactions • There may be additional fees charged for trading on third-party sites through arbs 4. USER RESPONSIBILITY & COMPLIANCE You are solely responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations in your jurisdiction. This includes, without limitation: • Laws governing financial trading and prediction markets • Tax reporting obligations • Use of third-party platforms We make no representation that the Services are appropriate or lawful in any jurisdiction. 5. DATA & ANALYTICS DISCLAIMER The Services rely on publicly available data, APIs, and third-party sources. We do not guarantee: • Accuracy • Completeness • Timeliness • Availability All analytics, calculations, and outputs (including profit estimates or expected value) are: • Based on mathematical models • Subject to real-time market conditions • Provided for informational purposes only They do not constitute recommendations or advice. 6. NO FINANCIAL OR INVESTMENT ADVICE Nothing contained in the Services constitutes: • Investment advice • Trading advice • Financial recommendations We do not recommend that you enter into any transaction. You are solely responsible for your trading decisions. 7. DIGITAL ASSETS & WALLETS If you connect a digital wallet or API: • You retain full custody and control of your assets • You are responsible for securing private keys, credentials, and API access • We have no access to or control over your funds We are not liable for: • Loss of funds • Unauthorized access • Wallet or key compromise 8. FEES & SUBSCRIPTIONS The Services are offered on a subscription basis. Available plans may include: • Weekly subscription: billed each week (currently $75/week, subject to change) • Monthly subscription: may include a promotional first-month price (currently $99 for the first month) and thereafter the standard monthly rate (currently $250/month), as shown at checkout • Annual subscription: billed once per year (currently $1,297/year, subject to change) Refunds: All fees paid for weekly, monthly, and annual subscriptions are non-refundable. This includes fees charged at promotional or introductory rates (including the $99 first-month rate on eligible monthly plans). We do not provide partial refunds for cancellation or unused time within a billing period, regardless of whether you subscribe weekly, monthly, or annually. All fees are: • Non-refundable as described above • Subject to change at our discretion We reserve the right to modify pricing or features at any time. 9. PROHIBITED USES You agree not to: • Use the Services for any unlawful purpose • Violate any applicable financial or trading regulations • Interfere with or disrupt the Services • Reverse engineer or scrape the platform • Use the Services to build competing products 10. USE OF VPNs AND CIRCUMVENTION PROHIBITED You agree not to access or use the Services through any means intended to obscure, misrepresent, or falsify your location, identity, or jurisdiction. This includes, without limitation: • Virtual Private Networks (VPNs) • Proxy servers • Tor or similar anonymization networks • IP masking or geolocation spoofing technologies You further agree not to use any such tools or technologies to: • Circumvent applicable laws or regulations • Bypass geographic or jurisdictional restrictions imposed by third-party platforms • Misrepresent your eligibility to access or use the Services We reserve the right, in our sole discretion, to: • Monitor access patterns, IP data, and technical signals associated with your use of the Services • Restrict, suspend, or permanently terminate your access at any time if we suspect the use of VPNs or similar technologies • Refuse current or future access to the Services without notice or liability Any use of the Services in violation of this section may result in: • Immediate termination of your account • Forfeiture of any active subscription or fees paid (without refund) • Revocation of any rights granted under these Terms You acknowledge and agree that: • You are solely responsible for ensuring that your access to and use of the Services complies with all applicable laws in your jurisdiction • The use of VPNs or similar technologies to evade legal or regulatory restrictions constitutes a material breach of these Terms 11. ASSUMPTION OF RISK You acknowledge that: • Prediction markets and digital assets are highly volatile • Arbitrage opportunities may disappear instantly • Execution risk, liquidity risk, and pricing discrepancies may occur You assume all risks associated with your use of the Services. 12. LIMITATION OF LIABILITY To the maximum extent permitted by law: We shall not be liable for any: • Direct or indirect losses • Lost profits or trading losses • Data inaccuracies • Execution failures • Third-party platform issues Your use of the Services is at your sole risk. 13. INDEMNIFICATION You agree to indemnify and hold harmless Champs Only, LLC and its affiliates from any claims, damages, or liabilities arising from: • Your use of the Services • Your violation of these Terms • Your interaction with third-party platforms 14. TERMINATION We may suspend or terminate your access at any time, for any reason, without notice. All fees are non-refundable, including for weekly, monthly, and annual subscriptions, consistent with Section 8. 15. GOVERNING LAW These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. 16. MANDATORY ARBITRATION Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration. You waive any right to participate in class actions or jury trials. 17. CHANGES TO TERMS We may update these Terms at any time. Your continued use of the Services constitutes acceptance of any changes. 18.
